When a company plans to go public, it usually enters into an agreement with a sub-author to help prepare for the IPO. The most common type of subscription agreement is one in which the songwriter agrees to take the risk of buying all the stock of shares issued during the IPO and selling it to the public at the IPO price. The underwriter acts as an intermediary between the company and the investors.
